Under the corporation laws of the State of New York, and in accordance with our Bylaws, the National Foreign Trade Council (NFTC) will hold the annual meeting of its membership on Thursday, November 8, 2018, at 9:00 am at NFTC, 1625 K Street NW, Suite 200, Washington, DC 20006.

The sole item of business at the annual meeting will be the election of members to the NFTC Board, though members are permitted to raise other items for consideration. Pursuant to the Bylaws, Board members have been divided into three classes. At this annual meeting, current Board members with terms expiring in December 31, 2018 will stand for election for a three-year term along with new Board members filling vacancies or being added for partial terms. A complete list of Board members proposed for election is attached to this email.

I hope you can attend the annual meeting, but in the event you cannot, I am attaching a proxy statement. I would appreciate if you could fill out and return pursuant to the instructions below as soon as possible. You are receiving this note and proxy statement because you are listed in our records as your organization’s point of contact with us. If you wish, you may send someone else to represent your company at the meeting, but if you do not plan on attending or being represented, please complete the proxy statement. If you would prefer someone else be listed as your company’s point of contact, please get in touch with Marshall Lane at mlane@nftc.org. If you or an alternate plans to attend the meeting, please RSVP below.

The proxy statement: The proxy statement directs the NFTC Chairman, Secretary Carlos Gutierrez, to cast your vote in favor of the slate of Board members proposed for election and as he sees fit with respect to any other matters that may be brought up at the meeting. However, if there are proposed Board members that you do not wish to vote for, you may so indicate on the attachment by striking through those names. Votes will be tabulated in accordance with the provisions of the Council’s Bylaws.

Filling out the proxy statement: You may return the proxy statement electronically or by mail or fax. If you prefer to mail or fax the proxy statement, please fill in the blanks, sign, and send back to Marshall Lane at the address/fax number at the bottom of this message, along with the list of Board members proposed for election. If you prefer to respond by email, please open the proxy document, fill in the blanks, include your name and title on the signature line, and return it, along with the list of Board members proposed for election, to mlane@nftc.org. The proxy statement does not have to be notarized.

Please note that we must receive your proxy statement by COB November 5, 2018, if it is to be counted in the balloting.
